1. Scope
These Terms of Purchase ("Terms") govern all quotations, orders, and sales of products by FACO Petrol Kimya Sanayi Dış Ticaret Ltd. Şti. ("Seller", "we") through b2boil.com to business customers ("Buyer", "you"). b2boil.com is a business-to-business (B2B) platform intended solely for distributors, importers, and commercial buyers. By requesting a quotation or placing an order, you accept these Terms.
2. Quotations and Proforma
Quotations and proforma invoices are valid for the period stated on them (or 30 days if not stated) and are not binding until the order is confirmed. Prices, availability, and lead times are subject to change until the proforma is approved and the deposit is received.
3. Orders and Acceptance
An order is placed when the Buyer approves the proforma invoice. It becomes binding once the Seller has confirmed it and the deposit under clause 5 has been received. The Seller may decline any order at its discretion.
4. Prices, Currency, Taxes, and Incoterms
Prices are quoted in US Dollars (USD). Unless stated otherwise, sales are made under Incoterms® 2020; the applicable Incoterms rule and the named port or place of destination are specified in the proforma invoice for each order, as these vary with the Buyer's country. Unless expressly included in the quotation, all taxes, duties, customs charges, and destination-side bank fees are the Buyer's responsibility.
5. Payment Terms and Order Process
Unless otherwise agreed in writing, orders proceed as follows: (a) Deposit (30%) — after the Buyer approves the proforma invoice, a deposit of 30% of the order value is payable; the Buyer uploads proof of payment (the bank receipt) to their account panel on b2boil.com. (b) Production — once the Seller has verified the deposit, production of the order begins. (c) Loading and documents — when the goods are ready and loaded, the Seller uploads the loading photographs together with the relevant export and customs documents to the Buyer's panel. (d) Balance (70%) — the remaining 70% of the order value is then payable; the Buyer uploads proof of payment of the balance to the panel. (e) Dispatch — once the Seller has verified the balance payment, the goods are dispatched. Title to the goods passes to the Buyer only upon receipt of payment in full.
6. Delivery
Delivery is made in accordance with the Incoterms® 2020 rule stated in the proforma invoice. Production and delivery lead times are estimates given in good faith and are not guaranteed; the Seller is not liable for delays outside its reasonable control.
7. Packaging
Products are supplied in the Seller's standard packaging (for example drums, barrels, or IBC tanks) unless otherwise agreed in writing.
8. Title and Risk
Risk passes to the Buyer in accordance with the applicable Incoterms® rule. Title to the goods passes to the Buyer only upon payment in full.
9. Inspection, Shortages, and Claims
The Buyer must examine the goods on arrival and notify the Seller in writing of any visible damage or shortage within 7 days of delivery, and of any hidden defect within 30 days of the date it is discovered. No goods may be returned without the Seller's prior written agreement.
10. Product Information, Specifications, and Samples
Product specifications, technical data sheets (TDS), and safety data sheets (SDS) are provided for guidance. The Buyer is responsible for ensuring a product is suitable for its intended use and complies with the laws of the destination country.
11. Warranties and Limitation of Liability
The Seller warrants that products conform to their agreed specification at the time risk passes. To the fullest extent permitted by law, the Seller's total liability arising from any order shall not exceed the invoice value of the affected goods, and the Seller shall not be liable for indirect or consequential loss. Nothing in these Terms excludes any liability that cannot be excluded by law.
12. Force Majeure
The Seller is not liable for any failure or delay caused by events beyond its reasonable control, including natural disasters, war, strikes, supply shortages, or government action.
13. Compliance and Export Control
The Buyer shall comply with all applicable export control, sanctions, and import laws, and is responsible for obtaining any import licences and permits required in the destination country.
14. Confidentiality
Where the parties exchange confidential information (for example, in private-label projects), each party shall keep it confidential and use it only for the purposes of the order.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Türkiye. The courts of İzmir shall have jurisdiction over any dispute, without prejudice to any mandatory rights the Buyer may have under applicable law.
16. Amendments
The Seller may update these Terms from time to time. The version in force at the time the Buyer approves a proforma invoice applies to that order.
